I had the opposite problem but it may have the same solution. I have a sound card properly installed and the sound is fine. Recently I had some problems and fiddled with a lot of things. I ended up with 2 copies of Win2K running in 2 folders. (Never mind it was useful to my problem.) The odd thing was that one -- and only one -- copy would always start with the Hardware Wizard trying to install "Multimedia Audio". Sound was fine so what was this? I checked and some time when I checked the BIOS (correctly, CMOS) I had turned on a setting for the onboard audio (which was glitchy). I turned it off and it disappeared.

So my suggestion is to check the CMOS setting. I know mine has a checkoff for Ethernet. Does yours?
